General Conditions (Terms of Service)

Effective Date: October 25, 2024

1. Scope of Work and Project Execution

All services provided by **Maroc-Dev** (The Agency) to the client (The Client) are governed by these Terms of Service (TOS) and supplemented by a specific Statement of Work (SOW). The SOW will detail the project scope, deliverables, timelines, and payment schedule.

• Any changes to the SOW require a formal change request, which may impact the project timeline and cost.
• The Client is responsible for providing all necessary content, images, and access credentials promptly to avoid project delays.

2. Payments and Ownership

Payment terms, including deposits and milestone schedules, are detailed in the SOW.

• A non-refundable deposit is required to secure services and initiate project work.
• Invoices are due within the timeframe specified on the invoice (e.g., 7 or 15 days). Late payments may result in the suspension of access to project deliverables and potentially late fees.
• All final rights and ownership of the developed solution are transferred to The Client upon receipt of the final, full payment.

3. Intellectual Property

The Client warrants that they own or have permission to use all content, images, and materials provided to the Agency. The Agency retains intellectual property rights over any proprietary development tools, pre-existing code, or reusable frameworks unless otherwise specified.

4. Limitation of Liability

The Agency shall not be liable for any incidental, indirect, special, punitive, or consequential damages resulting from the use or inability to use the services or deliverables.

5. Governing Law

These terms shall be governed by and interpreted in accordance with the laws of the Kingdom of Morocco.
